Two parties executed an agreement with an arbitration clause. Under the agreement, the parties were to incorporate a company for the development of a medical product but finally the company was not incorporated, and the parties managed the joint venture as a partnership.
The Court held that an arbitration clause in an agreement continues to apply even after termination thereof and will oblige the parties even if they did not adhere to the provisions of the agreement and finally did not incorporated the company but developed the products in a different manner and thus ordered the appointment of an arbitrator.
