A few friends formed a group of companies, but only one was registered as a shareholder in such. At some point the friends ceased working in the group and the registered shareholder claimed to be the only holder of rights while they argued that the relations were a partnership holding the shares of the companies and they have the right to be registered as shareholders and receive data on the companies.

The Court accepted the claim and held that in the relationship between the members, clear signs of their conduct as partners exist throughout the process.  Thus, for example: all presented as partners in business meetings, discussions were held between the members proving their intention to act as partners, and profits were shared. The lack of registration of the others as shareholders was contrary to the promises made to them, usurping their trust.  Thus, in light of the existence of partnership relationship between the parties, they are all entitled to be registered as shareholders and receive data regarding each of the companies in the group.
