It is not for nothing that the trial court rejected the appellants' argument that they had indeed performed work that justified withdrawing a salary in the sums withdrawn, and in its words: "These respondents [the appellants – 11] did not submit hours reports for their alleged work in Neve Simcha; They did not submit a real correspondence in the framework of their alleged work in Neve Simcha, which supports their later version, and did not bring external evidence to support this version." Neve Simcha had a full-time CEO named Klein, who actually managed Neve Simcha on full pay during the relevant years, and the trial court noted in its judgment that the appellants did not bring him to testify, with all that this entails from the evidentiary aspect. The appellants did not even explain why other directors of Neve Simcha were not paid for their labor.
In light of this, we find it difficult to accept the appellants' argument that the very fact that they were taken out to Yosef and Chaim Salary slips in Neve Simcha prove that they actually worked in Neve Simcha or that this fact is capable of transferring the burden to the special manager. It is not superfluous to note that the sums withdrawn by the appellants No profit was left for Neve Simcha, and according to the Special Manager, after the withdrawal of the salary was cancelled by the appellants, Neve Simcha is currently presenting profits in the amount of millions of shekels a year that are transferred to the activities of the institutions under his management.
- Adv. Shachor claimed that in 2012 he ceased to serve as a board member of the association. However, even assuming that this argument is accepted, he continued to serve as the trustee of the Wolf Endowment, and as such, he was forbidden to withdraw salary beyond the permissible ceiling.
The trial court ordered Adv. Shachor to return the sum of NIS 232,087, which he received as fees for the Lamel complex transaction, for the reason that he did not prove that the actions he performed deviated from the role of a paid trustee and director. We did not find any intervention in this factual determination either. In any event, Adv. Shachor should have received the necessary approvals to receive fees for paid legal service to the entities in which he serves as an officer, as a director of Neve Simcha and a trustee of the Wolf Endowment.
- In the end, the appeals are rejected. The Appellants Other Municipality Requests 38871-02-25 and the appellant of other municipal applications 38817-02-25 They will bear the expenses of the special manager in the amount of NIS 20,000 (antitrust - NIS 40,000).
