"The Companies Law solved the difficulties of the company's humanization by defining the relationship between the organs and the company in section 47: The actions and intentions of an organ are the actions and intentions of the company. This legal structure applies itself both to situations of proper thought and to situations of deviant behavior, and reflects the realistic perception of the corporation, which sees it as a creature with a personality of its own. The technique of imposing liability on the company by virtue of the action of the organ is carried out by imposing direct liability on the company."
Similar principles were discussed by Irit Haviv-Segal, Companies, at p. 139:
"Society lacks human consciousness, and it operates only through its organ, but according to the firm's realistic conception – the actions of the organ are considered the actions of the company itself, and the consciousness of the organ is considered the consciousness of the society. This is the theory of organs. According to the theory of organs, the personality of the commercial company is considered to be identical to the personality of the individual, with the exception of one characteristic: society, as opposed to the natural individual, does not act on its own, but operates through its organ.....The theory of organs concludes that the company itself is directly responsible."
And also Gross, The Companies Law, ibid., at p. 235:
"This identification of the intention of the organ with the intention of the company enabled English law, and subsequently, Israeli law, to attribute criminal intent to the company. Thus, the theory of organs was set up as the basis for determining the relationship between the company and the board of directors, and between the board of directors and external parties to the company.....Criminal liability is direct liability for the actions of the organs. The corporation is the actual perpetrator of the actions, and the criminal thought is that of the executing organ.".
