על פי חוק החברות, ברכישה של מעל 95% ממניות חברה נדרש הרוכש להציע הצעת רכש לרכישת מלוא יתרת המניות. בנק הפועלים פרסם הצעת רכש מלאה לרכישת מניות בנק משכן הואיל ובנק הפועלים העלה את אחזקותיו לכדי 98.18% מהמניות. המערער עתר לסעד של הערכה בטענה כי התמורה ששילם הבנק הייתה פחותה משווין ההוגן של המניות. החוק אינו מגדיר מהו שווי הוגן. בית המשפט העליון קיבל את טענת המערער לפיה בהצעת רכש לפי חוק החברות שווין ההוגן של מניות ייבחן על פי השווי הפנימי של החברה כעסק חי וזאת בהתאם לשיטת DCF להערכת חברות, המקובלת על קהיליית המימון ואשר על פיה מעריכים את שווי החברה על פי רווחיה (הכנסות, תזרימי מזומנים או דיבידנדים) כפי שהם צפויים בעתיד, מהוונים לערכם הנוכחי והכל נכון למועד הצעת הרכש. עם זאת, בית המשפט ציין כי יתכנו ויהיו לכלל זה חריגים.
