VIII.     Minutes of the shareholders' meetings and meetings of the board of directors (paragraph 44 of the summaries).

  1. "The company's insurance policy, including additional and confirmation of premium payments at the end of each year"           (Paragraph 45 of the summaries).
  2. Details of the work carried out in the commercial center in 2020, costs and bills.

The plaintiff asks to receive the bills even if they have already been partially transferred to her in the past.  It also wishes to determine that the period for receiving the accounts will be from 7 years prior to the filing of the claim.

  1. The defendants in Greenberg's lawsuit oppose the motion. It was argued that the requested documents deviated from the list of documents detailed in the original statement of claim, and therefore constitute an expansion of a prohibited front.  It was argued that there is no basis for the claim of discrimination raised by the plaintiff, and that in any event, the claims of discrimination have not been proven, and therefore the plaintiff's assumption that the discrimination has already been proven should not be deduced.
  2. The defendants claim that until the deceased's death, the company's affairs were conducted comfortably and with full consent. This was also the case after his death and the transfer of the shares to the plaintiff.  The alleged "crisis" occurred only when, at the end of 2022, the plaintiff and her family raised claims regarding a project that the defendant is managing through another company that is not connected in any way to the company.

The defendants emphasize that in 2022, the plaintiff signed the agreement to transfer 7% of the shares from Shneur Lishma.  In the agreement, the plaintiff confirmed that "The situation of the company in all its aspects is known and known to them, and that without derogating from the aforesaid, that they have examined and examined the company, its rights and obligations, its assets and any information relevant to the engagement in this agreement." (Clause 4.2 of the Agreement).  Taking into account the defendant's signature, the defendants claim that she is currently prevented from raising any claims regarding the lack of information, regarding deprivation and other claims raised by her in the pleadings.

  1. The defendants also refer to the court's decision in case 48159-07-23, in which the court, the Honorable Justice A. Baumgart, rejected a lawsuit filed by the plaintiff against Greenberg regarding a real estate investment transaction.  An appeal against this judgment was dismissed (Civil Appeal 1402/24).  The defendants claim that from what was alleged there, and from the minutes of the hearings, it appears that the plaintiff and her daughters are "shooting" in all directions in an attempt to find a reason to blackmail Greenberg.
  2. On the merits, the defendants claim that the plaintiff is entitled to review only the documents included in the Articles 184 - 185 to the Companies Law. These documents were made available to her and there is no room for additional orders.
  3. In the lawsuit in the case of Kedem Be'erot, the plaintiff reiterates her claiMs. However, in the Kedem Be'erot lawsuit, the plaintiff does not claim that there is any basis for the claim of discrimination. All that is claimed is that the plaintiff does not have sufficient information regarding the company's activity and that the rights in the land were allegedly realized without the plaintiff being paid the consideration to which she is entitled according to her share.
