however, where it was precisely in the plaintiff's claims that the plaintiff's claims were sufficient to confirm the undertaking to pay the sum of ILS 650,000 for the purchase of the shares; a place where not only was it not proven that this payment was actually made, but also that the plaintiff's version in this matter was found to be incomplete and unreasonable; and when it was clarified by Mr. Alfasi that his choice not to file the claim stemmed from the fact that he was aware that checks delivered by the plaintiff were not honored and he was concerned about the lack of ability to collect (see p.  104 20-25 of the minutes of the hearing of February 21, 2024), I did not find that the period of time that elapsed in itself, as well as the manner in which the notice was submitted to the Registrar, was sufficient to bring about the dismissal of the counterclaim, and I find that the latter should be accepted.

Conclusion

The main claim is dismissed and the counterclaim is accepted.

The plaintiff will pay the counter-plaintiff, Mr. Alfasi, the sum of ILS 650,000.  This amount will bear linkage and interest differentials from January 1, 2014 until the date of actual full payment.

I also order the plaintiff to pay the expenses of defendant 1 in the sum of ILS 50,000 and the expenses of defendants 2-3 in the sum of an additional ILS 50,000.  These sums will be paid within 30 days from today, otherwise linkage differences and interest will be borne in accordance with the law from today until the actual payment.

The Secretariat will be asked to provide a copy of the judgment to the parties by mail. 

The right to appeal to the Supreme Court within 60 days.

Granted today, December 18, 2025, in the absence of the parties.
