I have before me a main claim in the sum of ILS 171,211, and a counterclaim in the sum of ILS 994,000, concerning an unprotected lease agreement dated January 3, 2017 (hereinafter: the "Lease Agreement").
Background:
- The plaintiff Champions Workshop Ltd., is also the counter-defendant (hereinafter: "The Champions Workshop"). This is a private company, which rented a building (hereinafter: "Meitar") from "Meitar Infrastructure and Communications Ltd.", which is the defendant and the counter-plaintiff (hereinafter: "Meitar") for the purpose of serving as a garage for motorcycles.
Defendant 2, iDrive in a tax appeal (hereinafter: "iDrive"), is a private company, one of the shareholders of the Champions Workshop, which signed an irrevocable letter of guarantee, unlimited in amount, and without any conditions. As part of it, it undertook to be responsible, jointly and severally, with the Champions Workshop, for the full fulfillment of all of the Champions' Workshop's obligations within the framework of the lease agreement.
- On January 3, 2017, the Champions Workshop and Meitar entered into a lease agreement, by virtue of which Meitar rented it, and the Champions Workshop rented an area of about 1,051 square meters in the "Meitar Building" in Pardes Hanna, in order to serve as a garage for motorcycles.
The rent for the first three years (until March 2020) was ILS 29,798 per month before VAT, plus VAT, ILS 34,864. As of April 2020, the rent was ILS 30,995 per month before VAT, plus VAT, ILS 36,264. In addition, the Champions' Workshop had to pay the regular payments.
It was also agreed, in accordance with clause 6 of the lease agreement, that the Champions' Workshop would be able to carry out adaptation works in the leased property that would suit its needs, including work for the installation of air conditioning.
It was determined that the date of delivery of the leased property will be on March 31, 2017, and that the lease period will be for 60 months, i.e., until the end of March 2022.
