"It cannot be ignored that throughout the legal process, Lahav raised difficulties in the company's conduct, and this was reflected in a number of points.  Thus, for example, it is possible to point to Lahav's refusal to sign documents that appear to be technical documents required for the company's day-to-day operations (for example, a report of Lahav's residential address and confirmation that he is a director).  Another point relates to Lahav's many requests for information, and to the conditioning of the conduct of a specific action on the receipt of information, which in many cases had nothing to do with the requested subject."

 

At this stage, it can be determined that the conduct of Lahav like Gutman was not without difficulties, and that both had a personal interest in the conduct.

From the beginning of the proceeding, Lahav focused on the claim that since he was removed from the company, he did not have information regarding what was happening there.  This argument fell on attentive ears, and indeed, in a decision dated April 13, 2023, already in the early stages of the proceeding, I suggested that the company act in a very liberal manner with regard to Lahav's access to information.  In this framework, Lahav was also granted access to the company's accounting system and a management system within the company, and was provided with many documents at his request (see, inter alia, minutes of June 16, 2022, August 13, 2022).  In this regard, I even wrote the following in my decision of April 13, 2023:

"I can assume that some of Lahav's demands stem from the information gap between him and Gutman, and as stated, I accept Lahav's claim in this matter, and I referred to this earlier and noted that Lahav was given broad access to the information.  However, this argument cannot be allowed to harm the proper functioning of the company."

Another claim raised by Lahav is the issue of crypto wallets that were not included in the company's financial statements.  At this stage, I will not elaborate on the issue, but I will refer again to my decision of April 13, 2023 -
