The plan was that Plans would purchase the goods from Reset and sell them to customers in Europe, with the aim of increasing its turnover. Indeed, the company located customers and reached advanced agreements with them. However, according to defendant 1, at a certain point Plan's European customers withdrew from the transaction, and the company was forced to look for other customers to purchase the goods from it. As a result, Plan approached Defendant 1 with a request that he assist it in locating customers, and at the same time, Defendant 5 informed Defendant 1 that the goods should be sold in Israel.
Kobi Zoaretz and Avi Ben Nissan, who knew Defendant 1, told him that the Danidov Company, which belongs to them, was interested in carrying out commercial transactions, including importing and marketing goods, in addition to carrying out financial business. Against this background, defendant 1 proposed that Danidov be the one to purchase the goods from Plan, and to mediate between it and Danidov for the purpose of executing the transaction. The agreement was that Plans would order the goods from a reset and undertake to pay the full price according to the order, and then Danidov would step into Plan's shoes and purchase the goods at the relevant price at the time, which was about a third lower than the original price, due to the time difference between the transactions that caused the decrease in the value of the goods.
Due to the difficulties of the two companies in carrying out the financing through documentary credit, defendant 1 was approached for assistance, and the latter approached OPCI, so that it would carry out the financing in a way that would enable it to receive commissions and interest, as well as to benefit from suppliers' credit and cash flow. According to the outline that was agreed, the order of the goods from Reset was Plan. Danidov acquired her rights in the goods and stepped into her shoes, and she was the importer, who was supposed to release and sell the goods. OPCI was the financier and developer of documentary credit.
