- Axillion Smart Transportation Ltd. (hereinafter: "The Company" or "The Applicant") filed an application for approval of an arrangement between the Company and the holders of warrants (Series 5,6 and 7). In the framework of another application, the Applicant petitioned to grant temporary relief and to order, in order to complete the process for approving the arrangement, to extend the exercise period of the warrants in Series 5 and Series 7 until one day 05/10/26. As far as Series 6 is concerned, the applicant boat has withdrawn its application.
- In order to approve the arrangement, the Applicant petitioned to allow her to convene meetings of the holders of the warrants and the shareholders, while shortening the dates prescribed by law for convening the meetings. The Applicant also requested an exemption from the obligation to attach the documents, as required by Regulation 7 of the Regulations. The Friendship.
- After the Tel Aviv Stock Exchange Ltd. noted that it had examined the Series 5 and Series 7 warrants as presented in the request to update the application dated March 18,2026, and these met the TASE's requirement, and after clarifications from the Applicant's Acting CEO were heard in the "closed-door" hearing, the Israel Securities Authority left the decision to the discretion of the court. Against the background of the above, a decision was made on March 22,2026, according to which the date for the exercise of the options in Series 5 and 7 was extended, as requested, and this until the day 05/10/26. It was also determined that When the temporary relief is granted, and in light of the state of emergency that prevailed at the time, אין מקום Grant the request to shorten the deadlines for convening the meetings of the warrant holders and shareholders, and these will be convened on the dates prescribed by law.
- Taking into account the aforesaid, the Applicant was permitted in the framework of the decision of 22/03/26 to convene A general meeting of the holders of the warrants from Series 5 and 7 and a general meeting of the shareholders for the purpose of approving the proposed arrangement, as requested in the application to extend the exercise period of the warrants on the dates prescribed by law. In view of the fact that the Applicant is a public company and all information is open to the public, An exemption was granted to the applicant from attaching the documents as required by Regulation 7 of the Companies Regulations. In addition, it was allowed to the Applicant to publish the summons For Meetings Only two Hebrew-language economic newspapers, since the minutes of the meetings will also be published on the websites of the Israel Securities Authority and the TASE. In the framework of that decision, the Applicant was asked to submit a notice to the court on the results of the vote at the meetings, immediately after the vote.
- On July 27,2026, the Applicant submitted an update notice stating that it had executed the publications, the Series 7 Warrants Holders' Meeting was postponed due to the lack of a quorum and will be held on August 2,2026, after which the results will also be published. The Applicant noted that upon the expiration of the Series 7 objections, it will submit an update notice that includes a reference to the results of the meetings regarding the two types of warrants.
- On August 27,2026, the Applicant submitted an additional update notice which reads as follows:
- On June 7,2026, a meeting was held at which an arrangement was approved between the holders of the warrants (Series 5) and the Applicant, according to which the exercise period of the warrants (Series 5) would be extended by an additional 6 months, i.e., until October 5,2026, at an exercise price of 47 agorot.
- On 02/08/26, a meeting was held in which an arrangement was approved between the holders of warrants (Series 7) and the Applicant, according to which the exercise period of the warrants (Series 7) would be extended by an additional 6 months, i.e., until 05/01/27, at an exercise price of 53 agoras.
- The Applicant made the publications in accordance with the law regarding the results of the meetings of the holders of warrants of Series 5 and Series 7.
- The date for filing objections has passed and no reservation or objection has been submitted with respect to the results of any of the meetings, both with respect to the holders of Series 5 and Series 7 warrants.
- In light of the Applicant's notice of update, since it appears that the Applicant complied with the provisions of the decision dated March 22,2026, made the required publications, and no objections were submitted to the Application, I grant the Applicant's request and confirm the arrangements reached by the Applicant with the holders of Series 5 and Series 7 warrants as follows:
- The exercise period of the Series 5 warrants is extended by an additional 6 months, until 05/10/26, at an exercise price of 47 agoras.
- The exercise period of the Series 7 warrants is extended by an additional 6 months, until 05/01/27, at an exercise price of 53 agoras.
- The Secretariat will provide a copy of the judgment to the parties.
