בעלי מניות בחברה ציבורית הגישו בקשה לאישור תביעה ייצוגית כנגד החברה בשל הפרת חובת הדיווח שעניינו אזהרת רווח של החברה, חובה החלה עליה מתוקף היותה חברה ציבורית. החברה טענה להגנתה כי לא דיווחה על האירוע כיוון שלא הייתה וודאות שיתגבש לכדי אירוע מהותי. בית המשפט קבע כי לצורך חיוב חברה בדיווח מיידי על אירוע עתידי בחיי החברה, אשר אין ודאות שיתרחש, יש לבחון האם אותו עניין עבר את נקודת ה"אל-חזור" שממנה ואילך הופך המידע אודות האירוע למהותי. עם זאת, ככל שהחלת המבחן תוביל לכך שימנע מהמשקיע מידע מהותי אודות החברה, עליה לשקלל עוצמת השפעתו של האירוע הצפוי על החברה עם הסתברות להתממשותו בכל רגע נתון. בית המשפט לא אישר הבקשה לאישור התובענה כייצוגית וקבע כי בעלי המניות לא הצליחו להוכיח כי החברה הפרה את חובות הדיווח וזאת מכיוון שלא התגבש בידי החברה מידע מהותי החייב בגילוי במועד המוקדם לפרסום אזהרת הרווח מאחר ודובר על פרויקטים אשר מלכתחילה לא סווגו כמהותיים לחברה.
