התובע עתר לצו זמני אשר יורה לחברה להמשיך את מינוי כדירקטור, אף שלא נמצא רוב לכך באסיפה כללית וזאת בטענה שיש לו ציפיה לגיטימית וסבירה להמשך כהונתו כדירקטור בהיותו מחזיק ב23% ממניות החברה ואי מינוי מהווה קיפוח.בית המשפט דחה את הבקשה וקבע כי כל עוד התקנון אינו קובע אחרת, היות התובע בעל מניות לא מקנה לו זכות לשבת בדירקטוריון וכי טענת קיפוח אינה רלוונטית לדרך התנהלותה העסקית של החברה, שכן ביטול מינוי התובע כדירקטור אינו מהווה שימוש לרעה בכוחו של הרוב באופן השולל מן המיעוט את חלקו היחסי בהון החברה וברכושה.
