בין הצדדים נחתם הסכם תיווך בו התובעת זכאית לדמי תיווך או עמלות על חתימה של חוזים מסוימים בין הנתבעת לבין צדדים שלישיים, בין בתקופת ההסכם ובין בתקופה של שנתיים לאחר מכן. בין הנתבעת לצד שלישי נכרת חוזה שאינו מסוג החוזים אשר פורטו בהסכם ואף ללא מעורבות של התובעת בהליך ההתקשרות (הסכם התיווך צפה עסקת השקעה ובסופו של דבר נכרתה עסקת שירותים). בבית המשפט העליון עלתה שאלת משמעות המושג "מיזם משותף", באשר הסכם התיווך התייחס גם למושג זה. בית המשפט העליון קבע כי "על מנת שהתארגנות עיסקית תהווה "מיזם משותף", צריכה ההתארגנות להיות בחוזה, מפורש או משתמע, המעיד על כוונת הצדדים (שניים או יותר) לשתף פעולה באשר ליוזמה עסקית מוגדרת להשגת מטרה משותפת (השאת רווחים או ייצור משותף של מוצר או מתקן), שבמסגרתה מתקיים ביניהם שיתוף משאבים (הון, ידע או כישורים); מתקיימת שליטה משותפת על ניהול המיזם (אם כי אין הכוונה בהכרח ובכל מקרה לאחוזי שליטה שווים במיזם); וקיימת חלוקת רווחים והפסדים בין הצדדים למיזם". בהתאם לכך קבע כי הסכם השירות והתמיכה אינו מיזם משותף. קביעה חשובה לא פחות של בית המשפט העליון היא כי, בעוד שחוק התיווך במקרקעין לא חל על עסקאות של תיווך עסקי, "ניתן ככלל להחיל על כל סוגי התיווך (למעט תיווך מקרקעין עליו חל עתה חוק המתווכים במקרקעין) מתווה-מסגרת כללי לפיו נדרש מתווך להוכיח התקיימותם של שני תנאים עיקריים בתובעו דמי תיווך: (א) קיומו של הסכם תיווך, מפורש או משתמע (ב) היותו הגורם היעיל לקשירת העסקה (מתווה דומה נקבע בפסיקתו של בית משפט זה, בעיקר לגבי מתווכים במקרקעין". לגבי תנאי (ב), קבע בית המשפט העליון שהסכם התיווך יכול לקבוע אחרת, אך ככל שהסכם התיווך מדבר על דמי הצלחה, תנאי ב' הוא הכרחי.
