חיזוק מעניין ניתן לאחרונה, להלכה הותיקה הקובעת כי ככל שלא צוין במסגרת הסכם רכישה או הסכם שירות כי מחיר העסקה אינו כולל מע"מ, הרי שקמה חזקה כי המחיר החוזי הנקוב מגלם בתוכו גם המע"מ ככל שחל. במקרה זה, דובר בעסקת רכישת פעילות המשביר הישן על ידי המשביר החדשה אגב הליכי פירוק. מפרק המשביר הישן לא ווידא, כי במסגרת הצעת הרכישה שזכתה, יצוין מפורשות כי המחיר המוצע אינו כולל מע"מ. בית המשפט קבע כי כאשר ההסכם הרלוונטי אינו מציין מפורשות כי מחיר העסקה אינו כולל מע"מ קמה חזקה לפיה התכוונו הצדדים כי המחיר כולל מע"מ. פסיקה זו מעניינת היות והיא מעניקה משקל יוצא דופן להלכה אשר בעיקרה נקבעה כהלכה צרכנית מובהקת ומחיל אותה גם במקרים בהם ספק אם קיים צרכן "חלש" עליו יש להגן. מעניין כי גם אחד האינטרסים הבכירים בדיני פירוק המבקש את טובת הנושים נדחק הצידה במקרה זה מפני החזקה הצרכנית וקופת הנושים היא זו שספגה את נטל המע"מ. פסק הדין מדגיש מחדש את החשיבות שבהקפדה על ציון רכיב המע"מ כנפרד מהמחיר החוזי הנקוב על מנת להימנע מ"תאונת מס", אף במקרים בהם הסיכוי כי העסקה תחויב במע"מ הנו נמוך.
