00There will be a 6-month running period during which both parties will be able to perform a mutual evaluation.

During the run, Meni will serve as deputy manager in exchange for ILS 15,000 per month in exchange for an invoice

The company (Dubi Ophir) will set aside ILS 15,000 for the trust.

At the end of the run period, we will connect two options:

  • Anchoring the Partnership

Dubi Ophir receives the amount from the trust

Dubi Ophir will reveal the information that will be required in order to evaluate the business.

At that time, they will determine:

A mechanism whereby part of the company will be transferred to Meni Keinan.

The terms of employment of Manny and Dovi and the division of duties.

The future distribution of profits.

  • Dissolution of the Partnership

Meni Keinan receives the sum from the trust

A non-compete agreement will be enforced, according to which:

Meni Keinan keeps all new projects/clients/partnerships/products/ideas/leads created since 2020 and Dubi Ophir keeps all existing projects/clients/partnerships/products/ideas/leads created before 2020.

Dubi Ophir will not work directly or indirectly with "new" suppliers/customers/partners for a year.  Meni Keinan will not work directly or indirectly with "existing" suppliers/customers/partners for a year."

Later in the plaintiff's cross-examination, he was asked, "Somewhere do you have a document, a WhatsApp message, an email, a note, that the defendant tells you, the defendants, we approve the agreement?... Do you contract with a company that approves the agreement? Show me one place where this agreement is approved? The outline, the outline. in which the outline is approved" (p.  5 of the transcript of paras.  13-17).

After a large number of questions, the plaintiff replied that "...  In my estimation, if I'm not mistaken, a week later, on 07/01 we met.  We went through Dobby's room section by section on everything.  Dubi wanted to make a change 1, in the salary component.  We shook hands, Dubi came out of the office, stood next to me and announced to the employees that we would start working together from next week" (p.  6 of the transcript of paras.  8-13).
