Over the years, agreements were exchanged between the two, some of which specified fixed engagement periods, and even when they expired, the parties continued to act according to the custom between them.

  1. At the end of 2021, after the parties had operated for about 7 years without a written agreement, Spirnet forwarded a draft agreement to Bynet, andBynet signed it on December 30, 2021; However, the defendant delayed her own signature. According to the plaintiff, only nine months later, the defendant sent in a circular (on October 3, 2022) a copy signed by her retroactively (hereinafter: the agreement).  According to the defendant, the agreement was signed by her months earlier.

The Ottoman Settlement [Old Version] 1916The agreement includes a jurisdiction clause that appears in clause 15, which in turn refers to a cover sheet, which is an integral part of the contract.  A perusal of the preliminary page reveals that it contains clause 10, which separates several options according to the company with which the engagement is made.  Thus, it was determined that some of the engagements would be subject to the law of California, part of the law of Hong Kong, and part of the law of England.

12-34-56-78 Chekhov v.  State of Israel, p.  41 (2)On the parties before us, the preceding leaf applies English law, and it grants jurisdiction to the courts in England.  The relevant part of section 10 states:

  1. 10. Governing Law and Jurisdiction

If the contracting party is Spirent Communications International Division, a trading division of Spirent Communications plc or Spirent Communications Positioning Technology Division a trading division of Spirent Communication plc, then this Agreement shall be governed by and construed in accordance with the laws of England and Wales

Each party hereby submits to, and waives any objection to, the jurisdiction of the Courts of England in relation to any claim, dispute or difference that may arise hereunder.

This Agreement shall be enforceable and judgment upon any award rendered may be entered in any Court having jurisdiction [emphasize added].
