Section 6.5 Without derogating from the generality of the provisions of Section 6.1 above, the employee undertakes to notify the Company, immediately and without delay, of any matter or matter in which he and/or a family member has or may have a personal interest and/or which may create a conflict of interest between his own interest or that of another entity related to him and the interest of the Company and his work therein and/or in any matter in which he has been offered a personal benefit that is not related to the employee's work in the Company."
- In addition, in accordance with Amir's employment agreement, he undertook as follows:
"Section 5.1 The employee shall not perform any action that harms loyalty to the company or that may place him in a situation of conflict of interest and/or competition for the company's goals or business.
Section 5.2 The employee undertakes to notify his managers of any matter or issue and in any case where a conflict of interest arises between his work for the company, or between his personal interest and the employee's personal interest or interest. Notice is supposed to be given by the employee to his managers at the first opportunity and without delay.
Section 5.3 During the entire period of employment, the employee and/or his family and/or friends and/or any party related to him shall not receive any payment and/or benefit from any third party, in direct or indirect connection with his employment with the Company. A breach of this provision is a breach of a fundamental term of this Agreement, and in addition to this, and without derogating from any remedy to which the Company is entitled, the amount or benefit received by the Employee as aforesaid, shall belong to the Company, which shall be entitled to deduct such amount, or the value of the benefit from all the monies that the Employee will receive from it."
- In Avi and Amir's employment agreements, under the title "Letter of Commitment to Maintain Confidentiality, Non-Competition and Intellectual Property", confidentiality clauses as well as non-competition were stipulated in the following terms:
"1.1 I undertake to maintain complete and absolute confidentiality, not to make any use, not to disclose and/or show and/or to disclose, directly or indirectly, to any person and/or any entity, including employees of the Company for whom the information is not necessary for the purpose of performing their duties, any information (as defined below) that is about the Company, the Company's occupations (as defined below), its business and operations and/or any matter of the Company's affairs that came to my attention during and/or as a result of and/or in the framework of my work with the Company, Whether directly or indirectly to the Company and/or any information of any party with whom the Company is or may be in contact.
