"The client declares that it has been made clear to him that the services provided by BFC [Razi-Y.G .] do not include... Legal advice."
In clause 4 of the fee agreement, regarding credit raising services, signed between Sol and Sol and Razi on October 12, 2015 [Appendix 1b. Attorney Amjad's affidavit states:
"The client [Sol and Sol - Y.G] declares that it has been made clear to him that the services provided by BFC [Razi - Y.G] do not include... Legal advice."
We will also add that the wording of the agreement signed between Sol and the Razi Company regarding the transaction of the Nahalat Binyamin café in Herzliya [Appendix 13 to the lawsuit], which is not the subject of the hearing of this lawsuit, is different from the agreement signed regarding the transaction of the café at 17 Sokolov St., Herzliya, which is the subject of the hearing of the lawsuit. Regarding the transaction of the Nahalat Binyamin café in Herzliya, it was stipulated in clause 3 of the agreement of February 10, 2015 [Appendix 13 to the lawsuit], that the Razi Company would provide Sol with legal services: "a. A sale agreement for the Nahalat Binyamin Café branch in Herzliya; b. to violate the lease agreement."
Invoices 10102 of 12 August 2015 and 10178 of 31 December 2015, issued by the Razi Company for "legal fees" - are not conclusive evidence.
Clause 49b of the concession agreement [Appendix 19 to Sol's affidavit] states:
"The concessionaire [Sol-Y.G.] declares that his participation does not... the legal expenses arising from the preparation of this agreement, in order to apply any attorney-client obligation between the franchisee and the Rothschild chain's attorney."
Fifth, more than necessary, it is not Adv. Amjad's role, even if we were to determine that he would represent Sol in the employment agreements, to also provide services of examining the feasibility of a transaction, which is in the area of expertise of a financial advisor and a CPA.
We did not find in the evidence that was brought before the court an undertaking by Adv. Amjad to provide services of examining the feasibility of the transaction.
