Judgment
- Plaintiff 2 [hereinafter: "Sol"] is the owner of Plaintiff 1 [hereinafter: "Sol Company"].
Defendant 1 [hereinafter: the "Rothschild Café Partnership" or the "Partnership"] is a registered partnership. The general partners in equal shares were: defendant 2 [hereinafter: "Reznieli Company"] and defendant 3 [hereinafter: "Landau Company"].
Defendant 4 [hereinafter: "Yakubov"] was the owner of the Reznieli Company. Defendant 5 [hereinafter: "Landau"] was the owner of the Landau Company.
On Feb. 16, Landau sold its share in the partnership to defendant 6 [hereinafter: "Albertus Company"], which was owned by Isai Zakhariev. After the sale in 2016, the general partners in the partnership were: Reznieli and Albertus in equal shares.
In 2017, Reznieli sold its rights in the partnership to Albertus [see Yakubov's testimony at p. 881 of the transcript, lines 18-29].
In the past, the Rothschild Café Partnership had several branches. Some of them were held by the partnership, and some were held by franchisees by virtue of a franchise agreement signed between the partnership and the franchisees.
The partnership was sued in the main lawsuit, and is suing in the counterclaim. It was not proven that the partnership was dissolved.
- On July 6, 2015 Sol signed a franchise agreement with the Rothschild Café Partnership [Appendix 17 to the lawsuit] for the purpose of operating a café at 17 Sokolov St., Herzliya [hereinafter: "the café in Herzliya" or "the café"]. In addition to the concession agreement, 2 additional agreements were signed between the parties: a sale agreement [Appendix 18 to the claim], and an agreement with a land licence [Appendix 19 to the claim].
Saul was also a party to the concession agreement and the land licence agreement, which were signed.
Prior to the deal with Sol, Yakubov operated the café in Herzliya [see Yakubov's testimony at p. 880 of the minutes of July 13, 2023, lines 29-32]. The café in Herzliya was the first branch of the Rothschild Café Partnership [see Landau's testimony at p. 831, lines 32-31].
- Defendant 7 [hereinafter: "Razi Company"], whose registered owner was defendant 8 [hereinafter: "Mona"], signed with Sol, prior to the conclusion of the transaction between Sol and the Rothschild Café Partnership, fee agreements, the main of which was the provision of brokerage services [Appendix 10 to the Claim], and the provision of credit raising services [Appendix 11 to the Claim].
Mona was not involved in the transaction with the Sol Company [see Sol's testimony at p. 334, lines 6-7, and the Landau Committees at p. 870, lines 11-12].
