4( A contract that is not a business contract, a standard contract even if otherwise agreed upon, as well as an employment contract or a collective agreement will be interpreted according to the intentions of the parties, as implied by the contract and the circumstances of the case; The relative weight that will be given to the language of the contract and the circumstances of the matter will be based, inter alia, on the following considerations:
(a( the relationship of the parties, including information gaps or special relationships of trust between them;
(b( the degree of detail of the contract;
(c( The professional experience of the parties and the legal representation they had in the matter of drawing up the contract;
(5( For the purposes of this subsection -
(a( Parties who are not represented by an attorney for the purpose of drawing up the contract shall be considered as parties who have not agreed on the manner of interpretation in accordance with paragraph (1(;
(b( The agreement of the parties that contradicts the provision of subsection (b1( shall not be valid."
- As a summary of the review up to this stage and as a ramification for our purposes - where we are dealing with a business agreement and in this case, prima facie it is the agreement - since we are dealing with a contract for the provision of contractor services, which the parties drafted through lawyers and its provisions are detailed - the emphasis in the interpretation will be in the language of the agreement. With regard to interpretation in accordance with the language of the agreement, it should be further noted that in the framework of case law, it was determined that a contract should be interpreted as a single division without isolating a single provision from its provisions. Relevant in this regard are the rulings of the Supreme Court in other municipal applications 554/83 'Ata' Textile Company Ltd. Estate of the late Zolotov Yitzhak, IsrSC 41(1( 282, 305:
"The judge learns about the intentions of the parties, first and foremost, from the contract itself. Indeed, various provisions of the contract may shed light on the purpose and purpose of the contractual provision, which the judge wishes to interpret. A contract is an integrative framework. Its various parts are intertwined and intertwined. Its different organs influence each other. Therefore, in the interpretation of the contract, on the one hand, it is necessary to look at it as a whole, with its overall view, and on the other hand, to examine the connections between the various provisions, with a view to formulating the intentions of the parties from them. In this context, the nature of the transaction, its general legal structure, and its economic and social goals are of great importance. All of these have implications for the intentions of the parties."
